With over 25 years of background as both external and in-house counsel, Brad has represented a range of technology and media organizations from start-ups to Fortune 100 companies.

Focus on technology and digital media law 

Brad utilizes decades of executive-level senior legal experience with digital media and technology companies to pragmatically and effectively assist his clients with drafting and negotiating technology agreements and product legal review.

 

Brad drafts and negotiates a wide range of technology transactions, such as:

Internet: Content/Data Licenses, Affiliate and Platform Terms, Analytics and Tracking Relationships, Commerce and Payment Agreements

  • As General Counsel of PlayFirst, Senior Vice President and General Counsel of About.com (now DotDash), and Senior Director of Shockwave.com and AtomFilms, Brad has been at the forefront working with Internet companies that pioneered new forms of content distribution and marketing

Software/SaaS: License Agreements, EULAs and OEM, Reseller and Referral Agreements, Subscription Agreements, and Technology Partner Agreements

  • Brad has drafted and negotiated a wide range of software and SaaS agreements for such companies as MTV, Harmonix, IAC Applications (Slimware and Ask Applications), AtomShockwave, and numerous other companies, as in-house and external counsel

Video Games: Development and Distribution Agreements, Third-Party IP Licenses, Mobile Games, Game Engine Licenses

  • In addition to serving as Vice President and General Counsel for PlayFirst, Senior Vice President of Business and Legal Affairs for MTV Games and Harmonix, and Vice President for Business and Legal Affairs for Take-Two Interactive, Brad developed one of the first law school courses on video games and law which he taught at UC Berkeley School of Law

Online Advertising: Advertising and Sponsor Terms, Ad Networks, Optimization Agreements

  • Brad was senior IP counsel for Organic, one of the first digital agencies; He has supported ad sales teams for companies such as Shockwave.com, AtomFilms, and About.com; He has also negotiated numerous in-game ad placement agreements

Mobile: Development, Distribution, API Licenses

  • As Senior Vice President and General Counsel of IAC Applications, Brad oversaw all legal affairs for Apalon, a leading mobile app developer

Terms:  Terms of Use, Privacy Policies, Developer Terms

  • Brad has drafted terms of use, EULAs, and privacy policies for a wide range of products and services including desktop software, mobile apps, SaaS, video games, and websites

Merchandise: Licensing and manufacturing

  • Brad has handles merchandise license and product manufacturing agreements for such companies at MTV Games, Harmonix, and Take-Two Interactive.
